Terms & Conditions of Service

These Terms & Conditions ("Terms") govern your use of services provided by EastNexa, a division of and operated by CoNano Technologies, a Ugandan-registered business (Registration No. 80030857543701). By engaging EastNexa, requesting a quote, signing a proposal, or making any payment, you ("Client", "you") agree to be bound by these Terms.

For the purposes of these Terms, websites, mobile apps and custom software development are collectively referred to as "EastNexa Software Development Services".

2. Operational Territory

EastNexa operates as a remote-first digital solutions provider, delivering services seamlessly across East and Central Africa. Our primary service regions include Uganda, Kenya, Tanzania, Rwanda, Burundi, Malawi, Zambia, South Sudan, and the Democratic Republic of Congo (DRC).

Leveraging cloud-based workflows, real-time collaboration tools, and secure communication channels, we are able to work efficiently with clients regardless of physical location. This allows us to provide faster turnaround times, flexible support, and cost-effective solutions without the limitations of traditional office-based operations.

Clients engage with EastNexa fully online through structured communication channels including email, WhatsApp, video calls, and project management systems. This approach reflects the modern standard of digital service delivery and enables us to serve businesses both within our core regions and internationally.

Services may be delivered remotely to clients outside these regions at our discretion.

3. Engagement & Project Scope

Each project begins with a written or digital proposal/quotation describing the scope, deliverables, timeline and price. Work is considered "started" once any of the following occurs:

5. No-Refund Policy (Important)

5.1 Once EastNexa has started work on a client's project (as defined in Section 3), and the client subsequently decides they no longer want the project, no refund will be issued under any circumstances. The refund rate in such cases is 0% (zero percent).

5.2 This policy exists because EastNexa immediately commits time, labour, third-party costs and reserved resources to every project upon commencement. These costs are non-recoverable.

5.3 In the event of any dispute, complaint or dissatisfaction with deliverables, EastNexa is fully committed to rectifying the issue — including revisions, bug fixes, redesigns or re-implementations within the originally agreed scope — but will not issue a monetary refund.

7. Revisions & Change Requests

Each project includes a reasonable number of revisions as specified in the proposal. Additional features, redesigns or scope changes requested after sign-off may be billed separately at our standard rates and may extend the project timeline.

8. Timelines & Delivery

Estimated timelines are best-effort and depend on timely client feedback, third-party services and force majeure events. EastNexa will not be liable for delays caused by circumstances outside our reasonable control.

EastNexa provides a 180-day post-launch bug-fix window for issues caused by our development (unless a longer maintenance package is agreed). This does not cover:

11. Limitation of Liability

To the maximum extent permitted by law, EastNexa's total liability arising out of any project shall not exceed the total amount paid by the Client for that specific project. EastNexa shall not be liable for indirect, incidental, consequential or loss-of-profit damages.

12. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, except where disclosure is required by law.

13. Termination

Either party may terminate the engagement in writing if the other materially breaches these Terms and fails to remedy the breach within 14 days of notice. Termination by the Client does not entitle the Client to a refund of any payments made (see Section 5). Work completed up to the termination date remains payable.

14. Dispute Resolution

14.1 All disputes, complaints and queries must first be submitted in writing to policies@eastnexa.com.

14.2 EastNexa commits to acknowledging disputes within 5 business days and working in good faith toward resolution by rectification (not refund) as outlined in Section 5.

14.3 Unresolved disputes shall be governed by the laws of the Republic of Uganda, with non-exclusive jurisdiction to the courts of Uganda.

15. Changes to These Terms

EastNexa may update these Terms at any time. Updated Terms apply to new projects from the effective date. Existing projects continue under the Terms in force at the time of engagement.
